Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website at vocalarity.com or engaging the services of Vocalarity Technologies ("we", "us", "our", "Vocalarity"). By accessing our website or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our website or services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not use our website or services.

2. Description of Services

Vocalarity Technologies provides AI automation and technology services including, but not limited to:

  • WhatsApp chatbot automation and lead qualification systems
  • AI call agents for inbound and outbound telephony
  • Appointment booking and scheduling automation
  • CRM integration and workflow automation
  • Website development and design
  • Mobile and web application development
  • Consulting and strategy services related to business automation

The specific scope of services for each client engagement is defined in a separate written agreement, Statement of Work (SOW), or proposal.

3. Enquiries and Discovery Calls

Discovery calls and initial consultations are provided free of charge with no obligation. Information shared during discovery calls is treated as confidential. We will not use your business information for any purpose other than evaluating how we can assist you and preparing a proposal.

4. Payment and Fees

  • All fees are quoted in Indian Rupees (INR) unless otherwise stated in writing.
  • A deposit (typically 50% of project value) is required before work commences, unless otherwise agreed in writing.
  • Remaining balances are due upon project completion or as specified in the project agreement.
  • All invoices are due within 7 days of issue, unless otherwise agreed.
  • Late payments may attract interest at 2% per month on the outstanding balance.
  • Prices are subject to GST at the applicable rate.

5. Project Delivery and Timelines

  • Project timelines are estimates provided in good faith. We are not liable for delays caused by factors outside our control, including delays in receiving content, approvals, or feedback from the client.
  • Client delays of more than 14 days may result in the project being rescheduled or additional fees being applicable.
  • We will inform you promptly if we anticipate any significant delay to the agreed timeline.

6. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, complete, and timely information, content, and access required for the project.
  • Respond to requests for feedback, approvals, and decisions within the timelines agreed.
  • Ensure that any content, materials, or information you provide does not infringe the intellectual property rights of any third party.
  • Obtain any necessary licences, permissions, or consents required for your use of third-party services (e.g., WhatsApp Business API, Meta Platforms, telephony providers).

7. Intellectual Property

Our IP: We retain all intellectual property rights in our proprietary tools, frameworks, methodologies, templates, and know-how developed prior to or independently of your project.

Project deliverables: Upon receipt of full payment, you receive a licence (or, where agreed, full ownership) of the final deliverables specifically created for your project. This does not include our underlying proprietary tools and frameworks.

Your content: You retain ownership of all content, data, and materials you provide to us. You grant us a limited licence to use your materials solely for the purpose of delivering the agreed services.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of any agreement between us for a period of 3 years.

Confidential information does not include information that is or becomes publicly available through no breach of this clause, or that was already known to the receiving party prior to disclosure.

9. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care in accordance with the agreed specifications.

We do not warrant that:

  • Our services will meet all of your specific business objectives or result in any particular business outcome.
  • Any automation system will be error-free or uninterrupted at all times.
  • Third-party platforms (e.g., WhatsApp, Meta, telephony providers) will remain available or maintain their current features and APIs.

The website and its content are provided "as is" without warranties of any kind, express or implied.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
  • We shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, loss of business, or loss of data.
  • We shall not be liable for any failure or disruption caused by third-party platforms, API changes, or factors beyond our reasonable control.

11. Termination

  • Either party may terminate a project agreement with 14 days' written notice.
  • If you terminate a project, you are liable for payment of all work completed to the date of termination.
  • If we terminate due to your breach of these Terms or the project agreement, all outstanding fees become immediately due.
  • Upon termination, we will provide you with all completed work product that has been paid for.

12. Acceptable Use

You agree not to use our services or website to:

  • Violate any applicable law, regulation, or third-party rights.
  • Send spam, unsolicited messages, or engage in any deceptive marketing practices.
  • Collect or harvest personal data without proper consent and legal basis.
  • Engage in any activity that could harm, disable, or impair our systems or reputation.
  • Resell or sublicence our services without our prior written consent.

13. Data Protection

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you confirm that you have read and accept our Privacy Policy.

Where we process personal data on your behalf as part of delivering our services, we act as a data processor and you act as a data controller. We will process such data only in accordance with your instructions and applicable data protection law.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Andhra Pradesh, India.

Before commencing formal legal proceedings, the parties agree to attempt to resolve any dispute in good faith through negotiation.

15. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting to this page with an updated "last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
